PROBLEM TO BE SOLVED: To obtain a copolymer improved in impact strength and tensile elongation and excellent in rigidity by contacting a cyclic olefin with anα-olefin in the presence of a catalyst comprising an organic transition metal compound and an organic aluminumoxy compound. SOLUTION: A copolymer of formula VI is obtained by copolymerizing a cyclic olefin of formula IV with anα-olefin of formula V using an organic aluminumoxy compound comprising an organic transition metal compound of formula I, (a) units of constitution of formula II and (b) units of constitution of formula III wherein a value of b/(a+b) is 0.10-0.90. In the formula, Cp is a substituted cyclopentadienyl; M is a transition metal in group 4 to group 5; A is a halogen, H, alkyl, alkoxy, aryloxy, aryl, aralkyl, amide containing C and/or Si, hydrocarbon containing Si, diketonato or the like; R1 is a 2-10C hydrocarbon; R2 and R13 are each H, a hydrocarbon, a halogen, a substituent containing O and N, or the like; and R14 is H or alkyl.
