PROBLEM TO BE SOLVED: To obtain a more reactive mercaptomethylphenyl-containing diorganopolysiloxane by introducing at least one mercaptomethylphenyl group into one end, both ends, side chains, or the like of a diorganopolysiloxane. SOLUTION: A chloromethylphenyl-containing diorganopolysiloxane compound of formula I is reacted with a mercapto-introducing agent to produce a mercaptomethylphenyl-containing diorganopolysiloxane compound of formula III. The catalyst used is a transition metal catalyst. In the formulae, R1 is methyl or phenyl; (l) and (n) are each an integer of 0-500; (m) is an integer of 0-1,000; (p) is an integer of 0-2; R2 in formula I is a 1-6C alkyl, phenyl, or a group of formula II; R2 in formula III is a 1-6C alkyl, phenyl, or a group of formula IV; R3 to R7 in formula II are each H or a 1-20C alkyl, provided that one of them is chloromethyl; and R3 to R7 in formula II are each H or a 1-20C alkyl, provided that one of them is mercaptomethyl; and R3 to R7 in formula III is H or a 1-20C alkyl, provided that one of them is chloromethyl.
