PROBLEM TO BE SOLVED: To provide a composition which can give a vibration-damping material having a predetermined shape and a predetermined thickness by a single molding step, being therefore easily producible and inexpensive, and having a vibration- damping effect substantially equivalent to that of the conventional and to provide a process for producing the composition. SOLUTION: A vibration-damping material composition 10 is an integrally molded three-layer structure composed of a high-specific-gravity filler layer 11 prepared by incorporating lead balls or a lead powder in a resin material, a resin layer 12 based on an epoxy resin, and a low-specific-gravity high- elasticity filler layer 13 prepared by incorporating e.g. glass microballoons in a resin material. When this composition is used in a manner that the composition after being cured is used in the state turned upside down, the layer 11 serves as a conventional restraining layer, and the layers 12 and 13 serve as a vibration-damping layer. It can therefore exhibit performances equivalent to a conventional vibration-damping material.
