PROBLEM TO BE SOLVED: To obtain the subject composition giving prepregs excellent in tackiness, drape and windability on mandrels by including a thermosetting resin and a thermoplastic resin soluble in the thermosetting resin and having a specific weight-average mol.wt. SOLUTION: This resin composition comprises (A) 100 pts.wt. of a thermosetting resin (e.g. an epoxy resin) and (B) 0.1-20 pts.wt., preferably 0.1-10 pts.wt., of a thermoplastic resin which is soluble in the component A and has a weight- average mol.wt. of 200,000-5,000,000 and preferably further a glass transition temperature of >=80 deg.C or a melting point of >=80 deg.C. The resin composition preferably has a complex viscosityηof 200-2,000 Pa.s by the measurement of dynamic viscoelasticity at a measurement frequency of 0.5 Hz and at 50 deg.C and a storage elastic modules G' of 100-2,000 Pa, whereinη* and G' satisfy an relation of 0.9<=G'/η*<=2.0.
