PROBLEM TO BE SOLVED: To obtain a resin composition without causing the deterioration in both mechanical properties and moldability even when a large amount of inorganic fine particles are contained therein, excellent in mechanical strength, heat resistance and dimensional stability and useful for automotive parts, etc., by melt kneading a thermoplastic elastomer with the inorganic fine particles in a specific proportion. SOLUTION: This resin composition is obtained by blending (A) 100 pts.wt. thermoplastic elastomer such as a urethane-based thermoplastic elastomer with (B) 260-900 pts.wt. one or more inorganic fine particles selected from the group consisting of silica fumes, incinerated and dehydrated sludge ash and fly ash such as spherical fine particles having 0.1-50μm average particle diameter and melt kneading the resultant blend. Furthermore, the resin composition is prepared by adding and reacting 100-900 pts.wt. inorganic fine particles and 1-100 pts.wt. polyfunctional isocyanate compound with 100 pts.wt. oligomer having two or more functional groups selected from the group consisting of, e.g. carboxyl groups, amino groups and hydroxyl groups and 0.1-0.9d/g intrinsic viscosity.
