A heat resisting alloy for use in exhaust valves and the like low in price and excellent in structural stability, high-temperature strength and hot workability, which consists essentially by weight percentage of C: 0.01 DIFFERENCE 0.10%, Si</=2.0%, Mn</=2.0%, Cr: 14 DIFFERENCE 20%, Nb+Ta: 0.3 DIFFERENCE 1.5%, Ti: 1.5 DIFFERENCE 3.5%, Al: 0.5 DIFFERENCE 1.5%, Ni+Co: 35 DIFFERENCE 45%, B: 0.001 DIFFERENCE 0.01%, one or both of Ca: 0.001 DIFFERENCE 0.03% and Mg: 0,001 DIFFERENCE 0.03%, and the balance of Fe, additionally the total atomic percentage of Al, Ti, Nb, and Ta: 4.5 DIFFERENCE 6.0%, an atomic percentage ratio of Ti/Al: 1.0 DIFFERENCE 2.0, and M-value obtained through the following equation</=0.925; M=0.717 Ni (atomic fraction)+0.858 Fe (atomic fraction)+1.142 Cr (atomic fraction)+1.90 Al (atomic fraction)+2.271 Ti (atomic fraction)+2.117 Nb (atomic fraction)+1.001 Mn (atomic fraction)+1.90 Si (atomic fraction)+0.777 Co (atomic fraction)+2.224 Ta (atomic fraction).
