PURPOSE: To obtain a thermoplastic elastomer composition having excellent flexibility, heat-softening resistant property, destructive strength property, and further waterproof property, weatherability and heat-fusible property, and to obtain a waterproof sheet composed of this composition. CONSTITUTION: This thermoplastic elastomer composition contains 90-10 pts.wt. of a polyolefinic thermoplastic resin containing a polypropylene.homopolymer resin and a random copolymer resin composed of at least two kinds of constituting units selected from ethylene, propylene andα-olefin, wherein the weight ratio of the homopolymer resin to the random copolymer resin is 1:9 to 9:1 and 10-90wt.% of an ethylene.propylene-based copolymer rubber composition and/or a butyl-based rubber composition, and at least a part of the ethylene.propylene-based copolymer rubber composition and/or a butyl-based rubber composition is dynamically cured by a curing agent and forms a dispersing phase, and a composition comprising this composition added with carbon black, and a waterproof sheet composed of these compositions are obtained.
