A cross-linking resin composition comprising: (A) a principal component comprising a carboxylated resin having a number-average molecular weight of 1,000 to 40,000 and an acid value of 10-400 mgKOH/g; (B) a curing agent comprising a cyclic or chain silicone compound having a number-average molecular weight of 350 to 8,000, containing at least two epoxy groups in the molecule, containing none of hydrolyzable silyl group, silanol group and vinyl polymer structure, and having a siloxy skeleton; and (C) a medium. The composition has an excellent shelf stability, can be cross-linked and cured to yield a product having remarkably excellent gloss and weathering resistance and exhibiting acid resistance, solvent resistance, water repellency and staining resistance, and is useful as a chief material for paint, coating agent and sealant.
