PURPOSE:To obtain a modified polymer, having excellent color tone as well as melting characteristics and useful as a material for adhesives, electric wire cables, etc., with hardly any contamination of gelatinous materials, by subjecting a block copolymer to modification reaction in the presence of specific amounts of a phenolic compound and S based compound therein. CONSTITUTION:A block copolymer having one or more polymer segments consisting essentially of vinyl aromatic hydrocarbons and one or more polymer segments consisting essentially of conjugated dienes and 5-95wt.% vinyl aromatic hydrocarbon content or a blend thereof with a thermoplastic resin or rubber-like polymer is reacted with one or ore modifying agents of unsaturated carboxylic acids (derivatives) at 180-320 deg.C. In the process, the modification reactions is carried out in the presence of one or more phenolic compounds expressed by formula I-III (R1 is 1-4C alkyl; R2 is 2-4C alkenyl; R3 is cyclohexyl, etc.; R4 is H or 1-180C alkyl) in an amount of 0.05-5pts.wt. based on 100pts.wt. of the above-mentioned copolymer or blend thereof and one or more S based compounds expressed by formula IV or V (R5 is 3-20C alkyl; R6 and R7 are H or 1-6C alkyl) in an amount of 0.05-5pts.wt. based on 100pts. wt. of the above-mentioned copolymer or blend thereof.
