PURPOSE:To obtain the titled composition having excellent vibration-damping property, mechanical strength and adhesivity to metals, etc., and suitable for automobile, railway vehicle, etc., by compounding specific amounts of chlorinated polyethylene, a (halogenated) isobutylene-isoprene copolymer rubber, etc. CONSTITUTION:The objective polymer composition can be produced by compounding (A) a chlorinated polyethylene having a chlorine content of 25-45wt.%, a density of 0.91-0.97g/cc, a mol.wt. of >=30,000 and a Mooney viscosity of 20-100 with (B) an isobutylene-isoprene copolymer rubber having a mol.wt. of 250,000-700,000 and a Mooney viscosity of 30-100 or its halogenated product, (C) an ethylenic copolymer derived at least from ethylene and an alpha,beta-unsaturated dicarboxylic acid (anhydride) and having a melt index of >=0.5g/10min and (D) a thermoplastic polymer meltable at 200 deg.C. The amount of the component A is 1-99wt.% based on A+B, the sum of A and B is 5-30wt.% based on the whole composition and the amount of the component C is 3-40wt.% based on C+D.
