PURPOSE:To obtain a composition having excellent flexibility, low-temperature characteristics, oil resistance and heat-sealability and suitable for packaging film, by compounding a specific ethylene.alpha-olefin copolymer to a copolymer of ethylene and a carboxyl-containing monomer. CONSTITUTION:The objective composition is composed of (A) 95-50wt.% (excluding 50wt.%) of a copolymer derived from ethylene and a carboxyl-containing monomer (derivative) and having a carboxyl content of 5-50wt.% (preferably ethylene-ethyl acrylate copolymer or ethylene-vinyl acetate copolymer) and (B) 5-50wt.% (excluding 50wt.%) of a copolymer having a density of 0.86-0.91g/cm<3>, maximum peak temperature (measured by DSC) of >=100 deg.C and boiling n-hexane insoluble content of >=10wt.% and produced by polymerizing ethylene and a 3-12C alpha-olefin (preferably propylene or 1-butene) in the presence of a catalyst composed of an organic Al compound and a solid component containing at least Mg and Ti.
