PURPOSE:To obtain the titled crosslinkable and vulcanizable copolymer useful as wire coating material, flame-retardant, etc., having excellent heat resistance, freeze resistance, oil resistance, weather resistance and ozone resistance, by chlorinating a specific ethylene-propylene copolymer under a specific condition at two stages. CONSTITUTION:In bringing a chlorine gas into contact with an ethylene- propylene copolymer having 15-40wt% propylene content, 0.01-5.0g/10min melt flow index and 10-180 Mooney viscosity (ML1+4, 100 deg.C) in an aqueous suspension, at first stage 20-60wt% total chlorination amount of the copolymer is chlorinated at a temperature >=25 deg.C lower than the melting point of the copolymer and >=50 deg.C and at second stage >=30wt% the residue of the copolymer is chlorinated at a temperature >=10 deg.C higher than the previous stage and 5-15 deg.C lower than the melting point of the copolymer to give the aimed copolymer having 20-45wt% chlorine content and 10-150 Mooney viscosity (ML1+4, 100 deg.C).
