PURPOSE:To provide the titled compsn. having excellent stability, coating workability and resistant to water and corrosion, consisting of a polyether-urethane and a carboxyl group-contg. aq. resin neutralized with a volatile basic material. CONSTITUTION:A resin having an acid value of 10-60, such as an (oil-free) alkyd resin or an epoxy ester resin, is dissolved in an org. solvent such as butyl cellosolve and neutralized with a volatile basic material such as ammonia to obtain a carboxyl group-contg. aq. resin (A). 50-95wt% component A and 50- 5wt% polyether-urethane (B) of the formula (wherein R1, R3, R5 are each H, a 1-4C lower alkyl; R2, R4 are each a 4-15C aliph., arom. or araliphatic group; n, n', n'' are each 2-85) are mixed together and dissolved in water.
