PURPOSE:To obtain a composition excellent in appearance, impact resistance, etc., by adding a specified metal compound to a polyethylene polymer upon which an ethylenically unsaturated carboxylic acid is grafted and further mixing the mixture with an ethylene/vinyl acetate copolymer saponificate. CONSTITUTION:A graft copolymer (A) obtained by grafting an ethylenically unsaturated carbopxylic acid (anhydride), e.g., maleic anhydride, upon a polyethylene polymer of a density of 0.91-0.86 g/cm<3> is either mixed with 0.02-0.3 equivalent, per equivalent of the ethylenically unsaturated carboxylic acid component contained in component A, of a metal compound (B) comprising a hydroxide or a salt of a Group Ia or IIa metal of the periodic table (e.g., sodium carbonate) or mixed with both of the metal compound and a polyethylene polymer of a density of 0.91-0.86 g/cm<3>. This mixture is mixed with an ethylene/ vinyl acetate copolymer saponificate resin of an ethylene component content of 20-55 mol % and a degree of saponification >= 90% to obtain the purpose resin composition.
