Effective catalyst for copolymerization of ethylene or 3-10C α- olefins comprises (A) tetravalent titanium compd., e.g., mixture of tetrahydrocarbyloxy titanium (A-1) of formula Ti(OR)4 and dihydrocarbyloxytitanium oxide(A-2) of (RO)2TiO; (B) organomagnesium compd., e.g., dihydro-carbyl magnesium; (C) halide source; and (D) catalytic reaction product of organo-aluminum compd.; where R = 1-12C alkyl or aryl; and X=excess halide for conversion of magnesium compd. to dihalide. Mole ratios of (A-1)/(A-2), Mg/Ti, Al/Ti, and X/Al are 0.1-10, 1-200, 0.1-1000, and 0.0005-5, respectively.
