PURPOSE:To obtain the titled prepolymer excellent in adhesion to plastics or metals, weather resistance, etc., by reacting a specified polymer polyol and, optionally, another active hydrogen-containing compound with an excess of a polyisocyanate. CONSTITUTION:A polymer polyol (A) of a hydroxyl value of 1-140 obtained by polymerizing a hydrolyzable silyl group-containing ethylenically unsaturated monomer such as a compound of the formula (wherein D is a monovalent organic group having an ethylenically unsaturated bond, Z is a halogen, alkoxy, amido, amino, alkenyloxy, or the like, R is a 1-12C alkyl or an aryl, and r is 0-2) or a mixture thereof with other ethylenically unsaturated monomers at 50-170 deg.C in the presence of a catalyst in a high-molecular or low-molecular polyol and, optionally, (B) other active hydrogen-containing compounds (e.g., a polyetherpolyamine in which most of the molecular terminals are amino groups) are reacted with an excess of a polyisocyanate (C) at a molar ratio of the NCO groups of component C to the active hydrogen atoms of components A and B of 1:0.1-0.9.
