PURPOSE:To provide the titled compsn. excellent in resistance to impact and heat, by incorporating a particular graft copolymer with a thermoplastic resin contg. alpha-methylstyrene. CONSTITUTION:93-30pts.wt. grafting monomer composed of 30-100% (alpha-methyl)styrene, etc., and 0-70% copolymerizable monomer with a group of the formula is polymerized to yield a graft copolymer in the presence of 7-70pts.wt. (solid content, the same will apply hereinbelow) enlarged rubber latex with a particle size of 0.2-1mu, yielded by adding 0.1-5pts.wt. acid group-contg. copolymer latex yielded by polymn. of 3-30% (by wt., the same will apply hereinbelow) acid group-contg. monomer, 97-35% 1-12C alkyl acrylate, and 0-48% monovinyl monomer, to 100pts.wt. rubber latex with a small particle size and a pH of above 7, comprising 100-50% 1,3-butadiene and 0-50% monomer having a group of the formula. Then, a thermoplastic resin contg. alpha-methylstyrene is incorporated with said graft copolymer so that the content of the butadiene rubber is 3-40% and that of the alpha-methylstyrene unit is 10-75%.
