A heat exchanger for both waste-heat recovery and ventilation, an air-conditioner using the same and a control method of the air-conditioner are provided to the deformation of a heat exchanging plate by making the flow pressure of the indoor air not act into a first flow path group. A heat exchanger for both waste-heat recovery and ventilation comprises: a first and second opening degree control damper(60,80) and an air exhaust box(70). The first opening degree control damper is installed at an inlet port in which a plurality flow path(P1) makes a first flow path group. The first opening degree control damper controls the opening degree of the inlet port. The first opening degree control damper is installed to the crossing direction to the inlet port. The air exhaust box is installed on the bottom or the top of a heat exchanging plate(1) exterior. The air exhaust box is formed with the closure in which inside is vacant. The second opening degree control damper is installed at one among an air inlet or air outlet of the air exhaust box.
