PROBLEM TO BE SOLVED: To provide a zoom lens which secures a variable power ratio, is advantageous in terms of reduction of size and weight and easily secures optical performance, and an imaging apparatus equipped with the same. SOLUTION: The three-group zoom lens has, in order from an object side, a first lens group G1 having negative refractive power, a second lens group G2 having positive refractive power, and a third lens group G3 having negative refractive power. When varying power from a wide angle end to a telephoto end, space between the first lens group G1 and the second lens group G2 is narrowed, and space between the second lens group G2 and the third lens group G3 is changed. The second lens group G2 moves to the object side when varying power from the wide angle end to the telephoto end, and the third lens group G3 moves to be positioned on the object side at the telephoto end to the wide angle end. The zoom lens has a brightness diaphragm moving integrally with the second lens group G2 on an image surface side of the first lens group G1 and nearer to the object side than a lens surface nearest to an image side of the second lens group G2, and satisfies a predetermined conditional expression.
