<P>PROBLEM TO BE SOLVED: To provide an electro-optical device capable of obtaining a display without incongruent even in the case of staggering a viewing angle, and to provide an electronic apparatus with the electro-optical device. <P>SOLUTION: In the electro-optical device 100, an electro-optical layer 50 having negative dielectric anisotropy is held between a pair of substrates 10 and 25, and the electro-optical layer 50 is driven by an electric field generated between pixel electrodes 9 and a counter electrode 31 provided on the side of the electro-optical layer 50 of one substrate 10 and a counter electrode 31 to perform red, green or blue color display in a plurality of sub-pixel areas.
