A power generating apparatus using waste heat is provided to decrease the waste of the energy because the electricity is generated from the heat of the waste materials and the crop generated in the hot rolling material. A power generating apparatus using waste heat comprises first and second cylinder body members(10,20), a cooling unit(30), a crank shaft member(40), and a generator(50). The first cylinder body member comprises a first piston unit(11), a fluid chamber(12), and a material chamber(13). The first piston unit moves vertically inside the first cylinder body member. The fluid chamber is filled with the working fluid. The thermal material(1) is inserted into the material chamber. The second cylinder body member includes a second piston unit(21) and a connection unit(22). The second piston unit is coupled inside the second cylinder body member. The second piston unit includes a connection unit in the top dead center of the first piston unit. The connection unit is connected to the inside of the first cylinder body member. The cooling unit cools down the working fluid within the second cylinder body member. The crank shaft member is connected to the first and second piston units.
