The present invention relates to a cladding material formed by alternately stacking at least one layer made of Cu or Cu alloy and at least two layers made of metal or alloy of which coefficient of thermal expansion is smaller than that of the first layer, and a method for manufacturing the same, and a heat sink using the cladding material. The clad material consists of five layers or more, formed by stacking the first layers and the second layers. At least one hole which penetrates the thickness of the second layer is formed. The penetration hole is filled with Cu or Cu alloy to make the first adjacent layer connected therethrough.
