<P>PROBLEM TO BE SOLVED: To provide a heat conducting sheet high in adhesion to a heating element and a radiator, having stress relaxation property, and high in thermal conductivity. <P>SOLUTION: The heat conducting sheet includes a heat conducting layer 10 and an adhesive layer 20 provided on both sides or one side of a surface of the heat conducting layer 10. The heat conducting layer 10 includes: (A) a non-spherical particle 12 having a volume resistivity of 10<SP POS="POST">9</SP>Ω m or more and a thermal conductivity of 20 W/mK or more; and (B) an organic polymer compound 14 having a volume resistivity of 10<SP POS="POST">9</SP>Ω m or more and a glass transition temperature (Tg) of 50°C or less. The long axis direction of the non-spherical particle 12 is oriented to follow the thickness direction of the heat conducting layer 10.
