<p><P>PROBLEM TO BE SOLVED: To provide a device capable of determining and preventing overheat of the transmission, even if the transmission is a manual transmission or the like unable to grasp a shift state. <P>SOLUTION: When a vehicle speed VSP and the engine intake air temperature TEMP_ENG_AIR rise as illustrated by accelerator stepping of t1, a transmission overheat determining time TM_OVRH corresponding to these combinations becomes 0 by reducing as illustrated. Thereby, the transmission overheat determining time TM_OVRH becomes smaller than a vehicle speed limiting timer value TM_VSP_Lim up to an overheat preventive vehicle speed limit, and it is determined that the oil temperature is rising. During this time, the TM_OVRH is subtracted, and in t2 when becoming TM_OVRH=0 (when an oil temperature rise continues for a TM_OVRH time), a FLAG is set to 1 by determining the overheat of the transmission.
