The ventilation apparatus has an exhaust air duct that is extended from an exhaust air inlet (16) to an exhaust air opening (14) in a housing (10). A sound proofing device (30) is provided between exhaust air inlet and a fan motor (20). Noise control walls (31-35) of sound proofing device are provided with sound passage openings (310,320,321,330,340,341,350,351). The passage openings are arranged in different noise control walls, so that an acoustic energy is divided into two components which are overlaid by one noise control wall (33) to achieve a sound-damping effect.
