PURPOSE: A flexible complex light-guiding sheet and a manufacturing method thereof are provided to manufacture the thin flexible complex light-guiding sheet with a diffusion function or light condensing function. CONSTITUTION: A flexible complex light-guiding sheet comprises a diffusion film(30) and a light-guiding layer(10). The light-guiding layer is formed on the underside of the diffusion film and formed of a light-transmitting resin which is colorless and transparent. The flexible complex light-guiding sheet includes a structure layer. A plurality of structures is formed in the structure layer.
