PROBLEM TO BE SOLVED: To improve the accuracy for measuring velocity or flow rate by reading unneeded propagating waves in a measurement channel without increasing pressure loss and accurately detecting the reception waveform of regular propagation waves, and more accurately measuring the propagation time. SOLUTION: This ultrasonic flow rate-measuring device is provided with a measurement channel 6 where fluid to be measured flows, ultrasonic transducers 8 and 9 that are provided at the measurement channel 6, a first unneeded propagation wave attenuation means 14 for attenuating the unneeded propagation wave of ultrasonic waves being propagated in the measurement channel 6, a measurement control part 19 for measuring the propagation time of the ultrasonic waves between the ultrasonic transducers 8 and 9, and an arithmetic part 29 for calculating flow rate based on a signal from the measurement control part 19, and attenuates the unneeded propagation waves deviating from a regular ultrasonic propagation path 13 by a first unneeded propagation wave attenuation means 14, detects a reception waveform with less noise components by increasing the ratio of the regular propagation waves, improves the measurement accuracy of velocity or flow rate by accurately measuring the propagation time, and enlarges the measurement range of the velocity or flow rate that can be measured.
