PROBLEM TO BE SOLVED: To provide a variable capacitance element having a structure such that electric field sensitivity to a control voltage can be set irrelevantly to a breakdown voltage for a signal voltage, and an electronic apparatus. SOLUTION: The variable capacitance element comprises a pair of signal electrodes 24, 25 provided with a dielectric layer 28 interposed therebetween, and a pair of control electrodes 23, 26 provided with the dielectric layer 28 interposed therebetween so as to generate a control electric field in a direction crossing a signal electric field generated between the signal electrodes 24, 25. Then the signal electrodes 24, 25 are stacked in two or more layers in a direction in which the control electric field in the dielectric layer 28 sandwiched between the pair of control electrodes 23, 26 is generated.
