PROBLEM TO BE SOLVED: To provide a rubber composition which can be suitably used for forming a tire material having low rolling resistance and excellent in dry road surface-driving stability and a pneumatic tire using the rubber composition. SOLUTION: The rubber composition comprises (A) 100 pts.mass rubber component, (B) 2-70 pts.mass aromatic vinyl compound-conjugated diene compound copolymer having 5,000-500,000 mass average molecular weight (expressed in terms of polystyrene and measured by gel permeation chromatography) and (C) 0.5-20 pts.mass phenolic resin and (D) a curing agent composed of a methylene donor in an amount of 3-20 pts.mass based on 100 pts.mass resin (C).
