A sharing apparatus and method of drm(digital rights management) agent are provided to share the contents by sharing a DRM agent in the off line state of an apparatus connected to home network. A client device requests an execution code including a DRM agent corresponding to the encrypted contents to a host system(S510). The host system confirms whether or not it has the corresponding DRM agent(S520). If the corresponding DRM agent exists, the host system produces and encrypts the execution code including the client DRM agent, and transmits the code to the client device(S530). The host system installs the client DRM agent included in the execution code to the client device (S540). The host system confirms whether or not the client DRM agent installed at client device was modulated(S550). If the installed client DRM agent is not modulated, the client device transmits the license corresponding to the encrypted contents to the host system(S560). The host system transmitted with license confirms whether or not license is effective (S570). The host system produces and transmits the contents key corresponding to license(S580). The client device outputs the contents encrypted by using the contents key by decoding the contents(S590).
