PROBLEM TO BE SOLVED: To provide a ceiling structure for a rolling stock having a high degree of a design freedom on positions of an outlet port and a suction port for air conditioning, and a sound absorbing structure without impairing the appearance of a ceiling. SOLUTION: The ceiling structure for a rolling stock includes a ceiling panel 21 provided at a ceiling of the rolling stock 1 and unanimously has through holes 19 of the same shapes. The ceiling panel 21 includes an outlet area a, suction areas b, c and sound absorbing areas d, e. The outlet area a is an area which keeps an outlet through hole 19a communicating with an outlet duct 27 for blowing off conditioned air in a compartment 17. The suction areas b, c are areas which keep suction through holes 19b, 19c communicating with suction ducts 29, 31 for sucking circulating air from the inside of the compartment 17.
