PROBLEM TO BE SOLVED: To provide a resin composition containing an ethylenic copolymer excellent in the balance of flexibility and adhesiveness. SOLUTION: The resin composition is prepared by formulating (A) an ethylenic copolymer with (B) a modified copolymer prepared by at least partially modifying a copolymer composed of a 4C olefin and aα,β-unsaturated carboxylic anhydride or its derivative by at least one method selected from (b-1) modification by a hydroxy group-containing compound and/or an ether group-containing compound and (b-2) partial ionomerization by a metal ion in a weight ratio [(A)/(B)] of (50/50) to (99.5/0.5).
