PROBLEM TO BE SOLVED: To provide an optical sheet to be disposed in an observer's side of a PDP (plasma display panel) and having optical functions such as improving contrast without generating moire fringes, and to provide a display device having the optical sheet. SOLUTION: The optical sheet 10, 20 to be disposed in an image projection side of a plasma display panel 2, at a predetermined distance from the image projection face of the plasma display panel, comprises a plurality of layers for controlling and projecting incident light, characterized in that: the sheet has a prism portion 12, 22 having an approximately trapezoid cross-sectional form and arranged along the sheet face and a light absorbing portion 13, 23 disposed between the prism portions, with a wide bottom face of its cross section close to the plasma display panel; and the sheet includes a light diffusing means 15, 23a having a light diffusing effect in the wide bottom face of the light absorbing portion.
