The control apparatus for a vehicle executes a program that includes a step (S106) of outputting a command for prohibiting a vehicle-speed restriction control that restricts a vehicle speed V by decreasing an output from an engine, when a downshift control for an automatic transmission is being executed (YES in step S100), and the vehicle speed V is higher than a threshold speed (YES in step S 104); and a step (S 108) of turning ON a flag for prohibiting a subsequent downshift from being executed following the downshift. Thus, the control apparatus can achieves a smooth gear shift, and prevents a vehicle speed from exceeding a target limit speed.
