PROBLEM TO BE SOLVED: To provide a content data management system and apparatus for relieving the load of encryption arithmetic operations and defending itself against illegitimate attacks when one apparatus transfers a key for decrypting data and control information associated with a utilizing condition of the data to the other apparatus in distribution of the content data being the object of copyright protection. SOLUTION: The content data management system for processing control information for managing decryption of data includes: a first apparatus for recording and reproducing the data; a second apparatus for storing the data; and a host processing section for controlling transfer of the content data, data transfer functions of each apparatus are inquired about under the control of the host processing section, the first and second apparatuses mutually execute authentication processing of legitimacy, share key data when legitimacy is confirmed, the first or second apparatus applies encryption processing to the control information, and the one apparatus transfers the encrypted control information by the one apparatus to the other apparatus. The first apparatus receiving the control information uses the shared key data to decrypt the control information and applies decryption processing to the content data by using the decrypted control information.
