<P>PROBLEM TO BE SOLVED: To provide an oil-pan device and a lubricating device by which reservoir oil in the oil-pan device after finish of a worming-up is evenly used for circulation of oil for the mechanism to be lubricated. <P>SOLUTION: A guide member 32d is erected on a bottom sheet 32a1 of an oil-pan separator 32. The guide member 32d is constituted so as to enclose an oil-strainer 41 and a part for holding wax 34a in a case 34d in a thermo-valve device 34. Thus, after the finish of a warming-up, effect of negative pressure produced at an inlet port 41a of the oil strainer 41 is exerted through the guide member 32d on the thermo-valve device 34, oil in a 2nd chamber 30b is conducted into a 1st chamber 30a through the thermo-valve device 34 which is in the open state.
