PROBLEM TO BE SOLVED: To provide a traveling control device of an industrial vehicle capable of increasing the easiness of operation when the vehicle is moved backward according to the operating conditions, and the industrial vehicle having the traveling control device. SOLUTION: A controller 25 determines when a forward/backward movement selector lever 19 is moved to a backward movement position whether an operation seat 16 enabling the switching of a seating direction is positioned on the side or not by using the detected results of a seat position switch 24. When the operation seat 16 is at a front position, it determines that the vehicle is moving backward during unloading or loading, and reduces the target value of an output torque generated in a traveling motor 21 corresponding to the opening of an accelerator less than a target value in the case of forward movement. On the other hand, when the operation seat 16 is positioned on the side, it determines that the vehicle is moving backward for load carrying, and makes the target value of the output torque generated according to the opening of the accelerator to the target value in the case of the forward movement.
