An aqueous resin dispersion composition which is obtained by neutralizing an acid-modified chlorinated polyolefin with a basic substance and dispersing the neutralized polyolefin in water; and a process for producing an aqueous resin dispersion composition, characterized by dissolving an acid-modified chlorinated polyolefin in an ether solvent, adding a basic substance thereto to neutralize the polyolefin, subsequently adding water thereto to disperse the solution, and then removing the ether solvent.
