PROBLEM TO BE SOLVED: To provide a diene based polymer rubber having both modified terminals which excels in the saving of fuel consumption, its production method and a rubber composition using the polymer rubber. SOLUTION: The diene based polymer rubber whose both terminals have been modified can be obtained by reacting (A) an active conjugated diene based polymer having alkali metal terminals to be obtained by polymerizing a conjugated diene monomer or a conjugated diene monomer and an aromatic vinyl monomer in the presence of (C) a chemical species to be obtained by reacting a compound to be represented by formula (1) (wherein R<SB>1</SB>is an amino group, an alkoxy group, a siloxy group, an acetal group, a carboxyl group, a mercapto group or a derivative thereof) with an organoalkali metal compound with (B) a modifier having a functional group in a hydrocarbon solvent.
