PROBLEM TO BE SOLVED: To provide a structure for fixing a solid-state imaging device and a lens which has a highly accurate fixing structure and of which the number of parts is remarkably reduced and a fixing method thereof. SOLUTION: The structure is provided with the lens 1 to form an optical image, the solid-state imaging device 2 arranged at a predetermined position with respect to the lens 1, an intermediate holding member 3 stuck and fixed to both the lens 1 and the solid-state imaging device 2 so as to integrate them when holding the relative positions of the lens 1 and the solid-state imaging device 2 and planes 1b, 1c and 1d formed at least at either the lens 1 or the solid-state imaging device 2 and being mounting references.
