PROBLEM TO BE SOLVED: To provide a non-water-dispersible resin composition excellent in water resistance, weatherability and adhesion to base materials and suitable as a coating, and to provide a coating composition using the above resin composition. SOLUTION: This non-water-dispersible resin composition comprises (A) an aliphatic hydrocarbon-based organic solvent, (B) a copolymer obtained by copolymerization between (a) a cycloalkyl group-bearing polymerizable unsaturated monomer, (b) a silyl group-bearing polymerizable unsaturated monomer of the general formula (I): Xn-Si-Y(3-n) (wherein, X is a univalent hydrocarbon group selected from a 1-10C alkyl, aryl and aralkyl; Y is a group selected from an alkoxy, OH, an acyloxy, halogen atom, phenoxy and thioalkoxy; and n is an integer of 0-3; when there are two or more Xs or Ys, they may be the same or different from each other) and (c) another copolymerizable unsaturated monomer, and (C) copolymer particles insoluble to the organic solvent A and obtained by polymerizing a polymerizable unsaturated monomer in the presence of the copolymer B.
