PURPOSE:To obtain a resin composition useful as an adherent resin of multi- layer structure, a modifying material for plastics, a polymer alloy, an adhesive, etc., by reacting a specific polyester with a specific polyolefin in the presence of a catalyst such as tertiary amine. CONSTITUTION:(A) A polyester obtained by reacting and polymerizing (i) a monoepoxy compound (e.g. preferably compound shown by formula II or monoepoxy compound containing 4-50C long chain alkyl group) shown by formula I (R<1> is monofunctional organic group) with (ii) a polyester and (iii) a dicarboxylic acid is reacted with (B) a polyolefin (e.g. PE or PP having preferably 5,000-500,000 molecular weight) containing a functional group (e.g. hydroxyl group, acid anhydride group or epoxy group) to be reacted with hydroxyl group or carboxyl group in the molecule in the presence of at least one catalyst of a tertiary amine and a metallic catalyst to give the objective composition. |
