PURPOSE:The titled polymer having good low-temperature impact resistance and adhesive property and an island-in-sea structure, by subjecting a modified polymer prepared by dispersing a specific rubber-like microgel polymer in an OH group-terminated polyester oligomer having a specific molecular weight and a diisocyanate to addition polymerization. CONSTITUTION:A thermoplastic polymer, obtained by reacting (A) a modified polyester oligomer prepared by dispersing and stabilizing 5-200pts.wt. rubber- like microgel polymer, consisting of >=70wt% (meth)acrylic acid ester expressed by the formula CH2=CX-COOR (X is H or methyl; R is 1-18C alkyl) and having <=-20 deg.C glass transition temperature and 0.1-100mu particle diameter is 100pts.wt. hydroxy group-terminated polyester oligomer having 300-5,000 weight-average molecular weight and (B) a diisocyanate, containing 1-45wt% rubber-like microgel grafted onto a matrix, consisting of an island-in-sea struc ture and having toughness.
