The insulating and cooling/heating device of headlining of an automobile is provided with a circulating type of water jacket which is installed on the headlining as the ceiling portion of the automobile, to thereby increase the insulating and cooling/heating efficiencies. The insulating and cooling/heating device of headlining of the automobile comprises: the water jacket(20) installed in the interior of the bottom surface of a loop(10) of the automobile.
