PURPOSE: A heat exchanger and a ventilation system with the same are provided to prevent a heating plate from being burnt due to the heat of high temperature by using porous aluminum material or refractory material as a heat transfer plate, so as to exchange the heat of the high temperature with moisture. CONSTITUTION: A ventilation system with a heat exchanger comprises a heat exchanger, a waste heat supply part(70), and a controller(100). The heat exchanger supplies the external air to the inside of the house. The heat exchanger sucks indoor air and exhausts the indoor air to the outside and exchanges the heat and moisture. The waste heat supply part supplies the waste heat to the heat exchanger and uses waste heat for heating. The controller supplies the indoor air to the inside and the outside of the house and controls the connection of a heat exchanger.
