A skin whitening cosmetic composition comprising herb extracts is provided to show excellent tyrosinase activity inhibition effect, DOPA oxidation activity inhibition effect and melanogenesis inhibition effect, thereby providing excellent skin whitening effect with safety to skin. The skin whitening cosmetic composition comprises 10-50 wt.% of an extract of Mori Cortex radicis, 10-50 wt.% of an extract of Poria cocos, 10-50 wt.% of an extract of Glycyrrhiza uralensis and 10-50 wt.% of an extract of Angelica tenuissima. The cosmetic composition is in the form of skin, cream, foundation and make-up base. The method for preparing an extract of herb extract comprises the steps of: (a) preparing a mixture of Mori Cortex radicis, Poria cocos, Glycyrrhiza uralensis and Angelica tenuissima; and (b) extracting the mixture with an extraction solvent at a temperature of 5-37 deg.C for 1-15 days.
