PROBLEM TO BE SOLVED: To obtain a shock absorbing body mounting structure and a clip used for the structure, which securely positions the shock absorbing body relative to a floor panel by sealing an opening part for working such as welding formed on the floor panel. SOLUTION: A tibia pad 64 is easily mounted to the floor panel 46 and securely positioned relative to the floor panel 46 by mounting the clip 10 to the tibia pad 64 and engaging the clip 10 in a state of holding the tibia pad 64 with a cylindrical part 58 of a block member 42 sealing the opening part 48 of the floor panel 46. Since the block member 42 is fixed to the floor panel 46 in a state where a peripheral edge part of the opening part 48 is held with a skirt part 50 of the block member 42 and a pawl part 56, precision positioning is implemented, comparing with a case where the block member 42 is fixed to the floor panel 46 through a seal member.
