PURPOSE: An organoclay composition is provided which is usefully used in preparation of clay composite of polymer having high melting point or glass transition temperature by having a longer interlayer distance and showing higher heat stability than existing organoclay, and a process for preparing the composition is provided. CONSTITUTION: The organoclay composition comprises a complex compound of transition metal cations and hydrophobic organic compound between layers of stratified clay mineral, wherein the stratified clay mineral is smectite mineral having cation substitution capability of 80 to 150 meq/100g, the transition metal cations are one or more ions selected from the group consisting of monovalent, bivalent, trivalent and quadrivalent cations of first row transition metal or second row transition metal, the first row transition metal is a metal selected from the group consisting of Sc, Ti, V, Cr, Mn, Fe, Co, Ni, Cu and Zn, the second row transition metal is a metal selected from the group consisting of Y, Zr, Nb, Mo, Tc, Ru, Rh, Pd, Ag and Cd, the hydrophobic organic compound comprises electron donor functional groups and one or more hydrophobic carbon chains having 5 to 30 carbon numbers, the electron donor functional groups are one or more functional groups selected from the group consisting of aliphatic amine, aromatic amine, phosphine, arsine, and derivatives thereof, the complex compound has a coordination number of 1 to 6, and the hydrophobic organoclay comprises 25 wt.% or more of organic matter. The process for preparing the organoclay comprises the steps of a) preparing clay mineral in which cations between layers of the clay mineral are substituted into transition metal cations by dispersing the stratified clay mineral into water in which transition metal salts are dissolved, or a mixed solvent of water and alcohol; and b) forming a complex compound of transition metal cations and organic compound by adding a hydrophobic organic compound to the transition metal cation substituted clay mineral.
