PURPOSE: A headrest-fixing apparatus is provided to reduce materials and weight and make the appearance fine by coupling a guide with a pin groove to a bracket of the upper end of a back frame and by fitting the linear portion of a locking pin into the pin groove. CONSTITUTION: In a headrest-fixing apparatus of fixing a headrest by fitting a stay(14) of the headrest into a back pipe of seat back and adjusting the level of the headrest by a locking member of a guide(34), a bracket(32) with a through hole(30) is installed to the back pipe. The cylindrical guide, forming a flange and a pin groove(40) at the upper end and forming plural elastic fitting pieces(34b) at the lower end, is coupled to the through hole of the bracket. The locking pin(36), composed of the linear portion(38) to be fit into the pin groove and the arc portion(42) for gripping the outer peripheral surface of the guide, is arranged separately.
