PROBLEM TO BE SOLVED: To provide a magnetic conversion element which can increase the resistance change, and a thin-film magnetic head. SOLUTION: A laminate 2 which is a spin valve film is constituted by successively laminating a soft magnetic layer 22, nonmagnetic layer 23, ferromagnetic layer 24, antiferromagnetic layer 25 and protective layer 26 on a ground substrate layer 21 and is so formed that the electric resistance changes according to the relative angle of the direction of the magnetization of the ferromagnetic layer 24 and the direction of the magnetization of the soft magnetic layer 22. The ferromagnetic layer 24 includes a ferromagnetic inner layer 242, a bond layer 244 and a ferromagnetic outer layer 245 and generate the magnetization opposite to each other by magnetical coupling of the ferromagnetic inner layer 242 and the ferromagnetic outer layer 245 via the bond layer 244 in-between. The ferromagnetic inner layer 242 which is the extreme nonmagnetic layer 23 side in the ferromagnetic layer 24 is internally provided with the ferromagnetic inside layer 243 having magnetism and having the electric resistance greater than the electric resistance of the ferromagnetic inner layer 242. When current flows in the laminate 2, since the ferromagnetic inside layer 243 at least partly reflects electrons and limits their moving route, the resistance change rate increases.
